(*) 1st year fees will be payable together with incorporation fees.
(**) The individual must come to Spain, Madrid, to make such application; otherwise we can process this application under a Power of Attorney issued by the Client
(***) You can however appoint your own local accountants, if you prefer; should you contract our Accountancy services, fees will be invoiced on a pro-rata basis, for the period between the incorporation date and the end of the fiscal year (31st December)

IMPORTANT REMARK:
First year – Fees are considered from the date of formation until the 31st December same year
2nd and subsequent years – All annual fees marked above as “/Annual” become due from the 1st January each ear, and are payable until the 31st January

SHELF COMPANIES
VAT registered shelf Companies available in Spain, incorporated since 2005
List available upon request

Price for a shelf company will be the same price as for a brand new company plus an aging fee of Euros 1,500.00 per each year old.

For a ready made company incorporated in 2007, this extra fee will be just Euros 950.00 to cover any changes to the company’s statutes as requested by the Client

- Assignment of new Administrator and shareholders;
- Change of registered Offices;
- Change of company’s name;

ANNUAL FEES
The Annual Fees are concerned with the following services:
Annual Statutory Fee, which includes:
- Local incorporation agent to provide you all services relating company matters (registered agent facilities);
- Filing statutory returns with official departments, whenever required;
- Liaison with the registered office and the registered agent in the jurisdiction of incorporation, attending Company matters;
- Attending to routine compliance matters (inclusive of periodic file reviews), reviewing official correspondence received and other routine matters incidental to good corporate governance;

NOMINEE SERVICES (OPTIONAL)
Nominee Services are recommended to those people who wish and require 100% privacy, confidentiality and anonymity as to his relationship with the company. In such case, your name will not appear on the official files of the Registrar of Companies, but the nominees’ names. You can however manage to run the company through a full P.O.A. – Power of Attorney - which can be issued as per your own verbiage or ours. We can provide you a draft for your analysis.

NOMINEE SERVICES - FEES
Provision of Nominee Shareholder – Euros 650.00/annual per each shareholder
Provision of Nominee Director Bearer of Spanish NIE – Euros 2,500.00/annual
Notarized and Apostilled Power of Attorney – Euros 650.00

FULL SERVICED VIRTUAL OFFICE IN SPAIN
A service provided for those who incorporate offshore but simultaneously wish to offer the company a high degree of credibility internationally, and simultaneously grant everyone, client, provider, or official entities, to contact you, and that such contact will reach you, either by mail, phone or fax, and that you can receive it and process it.

HOW TO START INCORPORATION PROCESS
As to start the incorporation process, we only need an email from you, with your order, confirming the required optional services, if any. We will need to know if you will be interested in a new formed company or a shelf company ready to operate.

Should you decide for a Shelf Company, we shall provide you an updated list of companies available;

A Proforma invoice will then be delivered to you with our banking coordinates so that you may settle payment by swift wire bank transfer.

DELIVERY OF DOCUMENTS
We can either dispatch the documents to you by DHL or any other express courier.

TIME TO INCORPORATE
Usually between 4 to 6 weeks, for a fresh new company. For a company from the shelf, you can start operating immediately with it, while we shall execute all required changes.
